Criteria

Mitchell Industries pursues prospective acquisition candidates that fit one or both of the following profiles:

• The company designs and manufactures engineered products for business-to-business or end-user applications
• The company offers a value added business-to-business commercial or professional service that relies on proprietary or highly specialized technical expertise

The following investment criteria will be used to evaluate prospective acquisition candidates:

• Historically profitable, well managed private company
• Quality products with an established market position
• Excellent growth prospects
• Strong, core management team that desires to remain with the company and take an ownership position
• High margins through proprietary products or services
• Operates in a fragmented industry with synergistic add-on opportunities
• Market cycles are discernible from historical reviews
• Stable, well trained, non-union workforce as indicated by low historical turnover and competitive wage and benefit plans
• Adjusted earnings before interest and taxes of at least $500,000
